Incorporating in this state is fairly inexpensive and the paperwork is straightforward. Businesses enjoy the legal benefits of liability protection for individual members of a corporation. Nevada acknowledges Professional Corporations, Nonprofit Corporations and For-Profit Corporations. Proper documentation will be required for incorporating a business in this state. Businesses that are in-state as well as out-of state are welcome to file for incorporation.
The documents to file are obtained from the Nevada Secretary of State. They can be obtained at either their website or locally at the Secretary of State office. Forms can be downloaded in Microsoft Word format or as PDF forms. The Certificate of Formation For-Profit Corporation is form 201. Form 202 is used for the Certificate of Formation Nonprofit Corporation and form 203 is available for the Certificate of Formation Professional Corporation.
Basic information required on these documents include the name of a corporation and the name of the registered agent of the business with an address. A stated purpose for each corporation must be listed, as well as information pertaining to the directors of the corporation. Contact information for organizers and any other pertinent information should be listed on the form.
Nonprofit Corporations are required to pay a filing fee of $25. For-Profit Corporations are charged a filing fee of $300. Submit the required forms properly and accurately to incorporate in Nevada. Approval may take as long as 90 days.
